- Credit Limit
Credit Limit is subject to approval by ECGC and other third party.

The approved credit limit for new Buyer is USD 10000 maximum.
SFHINDIA reserves the right to review, reduce, suspend, or withdraw the credit facility at any time based on the Buyer’s payment history, outstanding exposure, creditworthiness, insurance availability, or other commercial risk considerations.

- Payment Terms
(a) 50% of the Purchase Order value shall be paid in advance at the time of placing the Purchase Order. (P.O.)
(b) The remaining 50% shall be payable under D/A (Documents Against Acceptance) – 45 Days, subject to SFHINDIA’s approval and applicable banking arrangements.

Buyer’s Bank:
The Buyer shall remain responsible for making payment in accordance with the agreed payment terms regardless of any internal dispute, resale issue, customer claim, or other matter between the Buyer and its customers.
- Payment Default
All payments shall be made strictly in accordance with the agreed payment terms.
In case of delayed or overdue payment, SFHINDIA reserves the right to suspend production, withhold shipment, suspend further deliveries, cancel outstanding orders, or withdraw the Buyer’s credit facility until all outstanding amounts are received.
- No Set-Off or Deduction
The Buyer shall not withhold, deduct, set off, charge back, or otherwise reduce any amount payable to SFHINDIA on account of any claim, alleged defect, dispute, customer complaint, or other matter unless expressly agreed in writing by SFHINDIA.
- Quality Assurance
SFHINDIA maintains strict quality-control procedures and warrants that the products supplied will conform substantially to the specifications agreed in the applicable Purchase Order, subject to the handmade-product tolerances and other terms stated herein.
SFHINDIA's quality assurance does not constitute a guarantee that every individual piece will be completely identical in appearance, texture, color, dimensions, or finish.
- Handmade Product Characteristics
All products manufactured by SFHINDIA are handmade.
As handmade products are individually crafted, minor variations, irregularities, differences in texture, surface finish, color, dimensions, weight, and appearance may occur. Such minor variations are natural characteristics of handmade products and shall not, by themselves, be considered manufacturing defects or grounds for rejection or claim.

- Non-Mass-Produced Products
Unlike machine-made products that are mass-produced with highly uniform specifications, SFHINDIA's handmade products are individually crafted and are not mass-produced.
Minor differences between individual pieces of the same design are therefore an inherent characteristic of the manufacturing process.
- Product Specifications and Buyer Approval
The Buyer shall carefully review and approve all product specifications before production, including but not limited to:
• Dimensions and weight
• Colors and finishes
• Artwork and logos
• Engravings and printing
• Designs and patterns
• Packaging
• Labels and markings
• Quantity and other special requirements
Once the Buyer has approved the specifications and production has commenced, any change requested by the Buyer may result in additional costs and/or an extension of the production lead time.

- Production Lead Time
The usual production lead time for handmade products is 60–90 days from the date of receipt of the Purchase Order and all required approvals, specifications, artwork, and advance payment, whichever is later.
The production period may vary depending on product quantity, complexity, customization, availability of raw materials, tooling requirements, and other production conditions.
- Order Cancellation
Once a Purchase Order has been confirmed and production, procurement, tooling, or material preparation has commenced, the order may not be cancelled without the prior written approval of SFHINDIA.
In the event of Buyer-requested cancellation, the Buyer shall be responsible for all costs already incurred or committed by SFHINDIA, including raw materials, labor, tooling, molds, packaging, production costs, transportation, and other related expenses.
- Production Quantity Tolerance
Due to the handmade nature of the products and normal production processes, reasonable variations in production quantity may occur.
Unless otherwise agreed in writing, a reasonable quantity tolerance of ±5% shall be permitted, and the final invoice shall be adjusted accordingly.
- Color and Finish Variation
Colors and finishes shown in photographs, digital images, samples, screens, catalogs, or previous shipments may vary slightly from the actual finished products due to lighting, photography, screen settings, raw materials, paint batches, production processes, and the handmade nature of the products.

- Buyer-Supplied Designs and Materials
Where the Buyer provides designs, drawings, artwork, logos, trademarks, dimensions, specifications, or other materials, the Buyer shall be solely responsible for ensuring that such materials comply with applicable laws and do not infringe any third-party intellectual property rights.
The Buyer shall indemnify and hold SFHINDIA harmless from claims arising from materials, designs, trademarks, artwork, or specifications supplied by the Buyer.
- Pre-Shipment Inspection
The Buyer may arrange a pre-shipment inspection through its representatives or an independent inspection agency, at the Buyer's own cost, provided reasonable advance notice is given to SFHINDIA.
If the Buyer does not arrange or request a pre-shipment inspection within the agreed production period, the shipment may proceed based on SFHINDIA's internal quality-control inspection.
- Inspection Upon Receipt
The Buyer shall inspect the goods promptly after receipt and shall notify SFHINDIA of any alleged quality issue, manufacturing defect, shortage, or transit damage in accordance with Clause 16.
Failure to notify SFHINDIA within the stipulated period shall constitute acceptance of the goods, subject to applicable mandatory law.
- Quality and Transit Damage Claims
SFHINDIA will accept and evaluate claims up to an aggregate value of 1% of the total invoice value for the relevant shipment.
For such claims, the Buyer shall provide clear photographs/videos and sufficient details of the damaged or defective merchandise by email.

- Claims Exceeding 1% of Invoice Value
Where the total verified claim exceeds 1% of the relevant invoice value, SFHINDIA may, at its discretion, require the Buyer to return the affected damaged or defective merchandise to India for physical inspection and verification.
The merchandise must be returned in its original packaging and original boxes, unused and in the condition in which it was received, to the extent reasonably possible.
Subject to verification of the claim, SFHINDIA shall bear the reasonable sea-freight cost of returning verified damaged or defective merchandise to India.

Returned products must be:

Products that have been used, altered, repaired, repainted, engraved, modified, improperly stored, or otherwise handled after delivery will not qualify for a claim to the extent the alleged defect or damage resulted from such use or handling.

- Verification of Returned Merchandise
After receiving returned merchandise in India, SFHINDIA's quality-control team shall inspect and verify the alleged damage or defect.
If SFHINDIA confirms that the merchandise is defective or damaged due to a matter for which SFHINDIA is responsible, SFHINDIA shall provide an appropriate remedy, which may include replacement, credit, refund, or another mutually agreed commercial resolution.

- Transit Damage After Risk Transfer
Responsibility for loss or damage during international transportation shall be determined in accordance with the Incoterms® 2020 rule and named place/port stated in the applicable Purchase Order, Commercial Invoice, or other agreed shipping document.
Once risk has transferred to the Buyer under the applicable Incoterms® rule, SFHINDIA shall not be responsible for loss or damage occurring during transportation except to the extent directly caused by SFHINDIA's failure to comply with its obligations under the agreed delivery term.

- Cargo Insurance and Carrier Claims
Where responsibility for transit risk lies with the Buyer, the Buyer shall be responsible for arranging appropriate cargo insurance and/or pursuing claims against the carrier, freight forwarder, insurer, or other responsible party, as applicable.
SFHINDIA shall reasonably cooperate by providing available supporting documents.
- U.S. Import Duties, Taxes and Charges
Unless expressly agreed otherwise in writing, the Buyer shall be responsible for all applicable U.S. import duties, tariffs, customs duties, brokerage charges, taxes, customs-clearance charges, destination charges, storage charges, demurrage, detention, and other destination-related costs arising under the applicable Incoterms® rule.
- Buyer Delays
Any delay caused by the Buyer, including delayed approvals, delayed payments, changes to specifications, failure to provide artwork or information, delayed shipping instructions, or failure to receive the goods, shall automatically extend the applicable production and/or delivery schedule.
Any additional costs resulting from such delay shall be borne by the Buyer.
- Product Modification
Any alteration, modification, repair, repainting, engraving, relabeling, repackaging, or other modification performed by the Buyer or any third party after delivery may void SFHINDIA's responsibility for defects or damage resulting from such modification.
- Improper Use, Storage or Handling
SFHINDIA shall not be responsible for defects or damage caused by improper storage, handling, transportation after delivery, installation, misuse, neglect, accident, environmental exposure, or failure to follow care or handling instructions supplied by SFHINDIA.
- Product Use and Resale Responsibility
The Buyer shall be responsible for ensuring that the products are properly marketed, labeled, displayed, sold, and used in compliance with applicable laws, regulations, and requirements in the Buyer's market, including the United States.
SFHINDIA shall not be responsible for claims arising from the Buyer's marketing representations, unauthorized labeling, modifications, misuse, or instructions supplied by the Buyer.
- Force Majeure
SFHINDIA shall not be liable for any delay, failure, or inability to perform caused by circumstances beyond its reasonable control, including but not limited to:
• Natural disasters
• Fire or flood
• Epidemic or pandemic
• War or terrorism
• Civil unrest
• Strikes or labor

• Government actions or restrictions
• Export or import restrictions
• Port congestion
• Shipping or transportation disruptions
• Shortage of raw materials
• Power outages
• Machinery breakdowns
• Supplier failures
• Any other event beyond SFHINDIA's reasonable control

- Limitation of Liability
To the maximum extent permitted by applicable law, SFHINDIA's aggregate liability arising out of or relating to a particular Purchase Order shall not exceed the amount actually paid to SFHINDIA for the specific products giving rise to the claim.

- No Implied Commercial Guarantees
Except for warranties expressly stated in the applicable written agreement and to the extent permitted by applicable law, SFHINDIA does not provide any additional express or implied commercial guarantees beyond those specifically agreed in writing.
- Buyer Credit Review
The USD 20,000 credit limit is not a permanent entitlement and may be reviewed by SFHINDIA from time to time.
SFHINDIA may request additional security, advance payment, banking support, credit insurance, or revised payment terms where commercially justified.
- Shipment and Document Compliance
The Buyer shall provide complete and accurate shipping, customs, labeling, consignee, importer, and other documentation requirements within the required timeframe.
SFHINDIA shall not be responsible for delays, additional costs, penalties, or storage charges resulting from inaccurate, incomplete, or late information supplied by the Buyer.

- Entire Agreement
The Purchase Order, Proforma Invoice, Commercial Invoice, agreed specifications, payment terms, applicable Incoterms® rule, and these Sales Terms & Conditions shall constitute the complete commercial agreement between SFHINDIA and the Buyer concerning the relevant transaction.
Any amendment or variation shall be valid only if agreed in writing by authorized representatives of both parties.

- Governing Law and Dispute Resolution
The governing law, jurisdiction, and dispute-resolution mechanism applicable to each Buyer relationship shall be expressly agreed in writing in the Purchase Order, Sales Agreement, or other written contract.
For international transactions, SFHINDIA recommends that the parties expressly address the applicability or exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and agree upon an appropriate arbitration or court jurisdiction.
